Common Questions

Everything you need to know about entering the Chinese market.

Yes. With the implementation of the Foreign Investment Law, 100% foreign ownership (WFOE) is permitted in the vast majority of sectors, except those explicitly restricted by the Negative List issued by MOFCOM and NDRC.
Typically, establishing a WFOE takes around 3-5 weeks. This includes SAMR Name Pre-approval, acquiring the Five-in-One Business License, carving the Company Seals (Chops), and completing MOFCOM Foreign Investment Information Reporting and SAFE registrations. Bank account opening might add an extra week.
Yes. A registered physical address (commercial property) is strictly required to obtain a Business License from SAMR. Virtual addresses are heavily scrutinized and often rejected for substantive business registrations unless in designated Free Trade Zones (FTZs).
The standard Corporate Income Tax (CIT) is 25%, but qualified High-Tech Enterprises can reduce this to 15%. VAT ranges from 6% to 13% depending on your industry. Individual Income Tax (IIT) applies to your staff's salaries on a progressive scale up to 45%.
Yes. As the Legal Representative or a major investor, you can obtain a Z-Visa (Work Visa) allowing you to apply for a Resident Permit valid for 1-5 years. Top-tier investors (Tier A talent) may even qualify for permanent residency (China Green Card).
For most WFOEs, China operates on a 'Subscribed Capital' system, meaning there is no legal minimum upfront deposit required by the central government. However, the capital stated should be realistic enough to fund initial operations until the company generates local revenue.

Important Regulatory Update: Under the newly revised PRC Company Law (effective July 1, 2024), shareholders of limited liability companies must fully inject their subscribed registered capital within 5 years from the date of incorporation.
